Welcome to Mile High Sports Management, LLC (“MHSM,” “we,” “our,” or “us”).
These General Terms of Service (“Terms”) govern your access to and use of all websites, products, and services operated by MHSM, including athlete profiles, content submission forms, digital media services, and communication channels (collectively, the “Services”).

By purchasing, submitting, or accessing any MHSM Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as all related policies linked herein:

2. About MHSM

Mile High Sports Management, LLC is a professional creative and marketing services company based in the United States, operating remotely.
MHSM provides branding, photography, videography, editing, and media production services for athletes, families, and organizations.

MHSM is not:

  • An agent, talent manager, or legal representative of athletes;

  • An NIL (Name, Image, and Likeness) agency or intermediary;

  • A recruiter, scout, or institution-affiliated marketing body;

  • A direct payor or sponsor of athletes.

MHSM provides media and marketing services only. All payments for MHSM Services are made by athletes, parents, or their representatives — MHSM never compensates athletes in exchange for services.

3. Eligibility

You may use MHSM’s Services only if:

  • You are 18 years of age or older, or

  • You are a minor (under 18) whose parent or legal guardian has provided digital consent per MHSM’s Parent & Guardian Consent Policy.

By completing checkout or submitting an MHSM form, you confirm that:

  • You have the legal authority to enter into a contract or act on behalf of a minor;

  • All information you submit is accurate and truthful;

  • You agree to comply with these Terms and all related policies.

MHSM reserves the right to deny or suspend Services if eligibility or parental authorization cannot be verified.

4. Scope of Services

MHSM provides various creative and media-based services, which may include but are not limited to:

  • Highlight reel creation and video editing

  • Game filming and live-action recording

  • Professional athlete photo sessions

  • Logo and visual identity design

  • Announcement and signing graphics

  • Social media management and content creation

  • Custom brand and media packages

Each Service is described individually on MHSM’s website, including pricing, deliverables, and timelines. MHSM reserves the right to modify, discontinue, or replace Services at any time without notice.

5. Professional Relationship

All MHSM Services are provided as independent contractor services.
No athlete, family, or business relationship constitutes employment, agency, or representation.
MHSM does not act as an intermediary for college recruitment, NIL deals, or commercial contracts.

All creative deliverables are for personal, promotional, and marketing use only.

6. Ordering & Payments

Payments are processed through Stripe using Squarespace Commerce.
By completing checkout, you authorize MHSM to charge your chosen payment method for the amount displayed, including any applicable taxes or fees.

MHSM does not store full credit card data and is not responsible for third-party payment issues arising from Stripe or Squarespace.

All purchases are governed by MHSM’s Refund & Cancellation Policy.

7. Digital Consent & Agreement

All legal consents — including parental consent, media use approval, and indemnity acknowledgment — are obtained digitally through required checkboxes and form submissions during checkout or registration.

These digital acknowledgments constitute legally binding consent equivalent to a physical signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

MHSM records timestamped digital consents for compliance and verification.

8. Parental Consent for Minors

If the athlete is under 18:

  • Parental or guardian consent must be given through MHSM’s checkout or athlete form.

  • The parent or guardian confirms that they have reviewed all MHSM policies and authorize the athlete’s participation in Services.

  • The parent or guardian accepts responsibility for ensuring all submissions and materials comply with MHSM’s policies.

MHSM will not knowingly publish or use any minor’s content without verified digital consent.

9. Content Ownership & Intellectual Property

a. Athlete-Provided Materials

All materials supplied by the athlete or parent (e.g., game footage, photos, logos, bios) remain their property.
By submitting content to MHSM, you grant MHSM a non-exclusive, royalty-free, worldwide license to use, reproduce, and display those materials for:

  • Service fulfillment (editing, design, and creation);

  • Promotional display (social media, website, or portfolio use).

You retain ownership and may revoke MHSM’s usage rights at any time via written request.

b. MHSM-Created Materials

All media created by MHSM (photos, videos, logos, designs, edits, and graphics) is jointly owned:

  • The athlete may use the content for personal and promotional purposes;

  • MHSM retains rights to use the same media for marketing, advertising, and business promotion.

Neither party may sell or license the content to third parties without mutual written consent.

c. Third-Party Logos & IP

MHSM respects all copyright and trademark laws.
Athletes and parents are responsible for ensuring that any logos, uniforms, or school marks included in provided media are lawfully used.

If a school, organization, or third party requests removal of protected content, MHSM will comply immediately per the Media Usage & Take-Down Policy.

d. Indemnity Clause

By using MHSM’s Services, you agree to indemnify and hold harmless Mile High Sports Management, LLC, its owners, affiliates, and employees against any claims, damages, or costs arising from:

  • Unauthorized use of third-party content;

  • Misrepresentation of athlete information;

  • IP infringement related to materials you supply or upload.

10. Acceptable Use

Users must comply with MHSM’s Acceptable Use Policy.
This means you may not:

  • Post or upload offensive, explicit, or defamatory content;

  • Misrepresent statistics, achievements, or affiliations;

  • Upload unlicensed images, logos, or trademarks;

  • Use MHSM’s platforms to solicit unrelated business;

  • Engage in harassment, spam, or unlawful behavior.

MHSM reserves the right to remove any content or terminate access to Services for violations without refund.

11. Privacy & Data Collection

MHSM’s Privacy & Data Policy governs all data handling practices.
In summary:

  • MHSM collects only necessary information (names, contact info, media files) to perform Services.

  • Data is stored securely within Squarespace and Stripe systems.

  • MHSM never sells, rents, or shares personal data with advertisers or third parties.

  • Parents and athletes can review or delete their data at any time by contacting milehighsportsmanagement@gmail.com.

12. Media Usage & Public Display

By using MHSM’s Services, you grant MHSM permission to:

  • Display finished projects (photos, graphics, videos) on MHSM’s website, portfolio, and social media.

  • Mention the athlete’s first name, sport, and general region when highlighting work.

MHSM will never post private or sensitive information.
You may revoke this permission at any time in writing, and MHSM will remove content within 10 business days per the Media Usage & Take-Down Policy.

13. Refunds & Cancellations

All purchases are subject to the Refund & Cancellation Policy.
Refund eligibility depends on:

  • Service stage (e.g., pre-production vs. completed project);

  • Cancellation timing;

  • Unavoidable circumstances (weather, travel, or scheduling).

MHSM reserves the right to determine refund eligibility and issue partial or full credits at its discretion.

14. Service Modifications & Delivery Timelines

MHSM will make all reasonable efforts to deliver services as described; however, delivery times are estimates and not guarantees.

Delays may occur due to:

  • Equipment failure or file transfer issues;

  • Weather, travel, or event restrictions;

  • Athlete or client scheduling changes;

  • External approval requirements (e.g., school facility access).

MHSM is not liable for delays beyond its reasonable control but will communicate any changes promptly.

15. Disclaimers

MHSM provides all Services “as is” and “as available.”
While we take pride in professionalism and quality, MHSM does not guarantee specific outcomes, recruitment results, or athletic exposure.

We do not warrant that:

  • Services will be uninterrupted or error-free;

  • All uploaded content is immune from loss or deletion;

  • Media produced will meet subjective expectations beyond described deliverables.

16. Limitation of Liability

To the fullest extent permitted by law:

  • MHSM’s liability is limited to the total amount paid for the applicable service.

  • MHSM shall not be liable for indirect, incidental, or consequential damages (including data loss, reputational harm, or business interruption).

  • MHSM is not responsible for misuse of content after delivery to the athlete or parent.

17. Termination of Services

MHSM reserves the right to suspend or terminate Services immediately if:

  • A user violates these Terms or related policies;

  • Content submitted is unlawful or unethical;

  • Payment is fraudulent or disputed;

  • Continued work presents legal or reputational risk.

In such cases, MHSM will notify the client and may provide partial refunds depending on project progress.

18. Policy Integration

These Terms incorporate and enforce the following MHSM policies:

  • Intellectual Property & Ownership Policy

Acceptance of these Terms during checkout or registration constitutes acceptance of all related policies.

19. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Colorado.
In the event of a dispute, the parties agree to attempt informal resolution before pursuing legal action.
If unresolved, disputes shall be brought exclusively in the state or federal courts of Colorado.

Each party waives the right to participate in class actions or jury trials related to MHSM’s Services.

20. Severability

If any provision of these Terms is found unenforceable or invalid, the remaining sections will continue in full force and effect.

21. Updates & Modifications

MHSM may update these Terms at any time to reflect changes in services, technology, or law.
Updated versions will include a new “Last Updated” date and become effective immediately upon posting.

Continued use of MHSM Services constitutes acceptance of any revised Terms.
